3.3 Account Suspension and Termination
We reserve the right, in our sole discretion, to suspend, restrict, or terminate your account and access to our Services at any time, with or without notice, for any reason, including but not limited to:

- Fraudulent, abusive, or illegal activity
- Prolonged inactivity
- Requests by law enforcement or government agencies
- Technical or security issues
Upon termination, your right to access and use the Services will immediately cease. We may delete your account and all associated content without liability to you.

By submitting, uploading, posting, or otherwise transmitting any content (including scripts, code, text, images, comments, reviews, ratings, or other materials) to our Services ("User Content"), you grant to MzScript's and its affiliates, partners, and service providers a:
- Worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content in any form, medium, or technology now known or hereafter developed
This license includes the right to:
- Host, store, cache, and display your User Content on our Services
- Make your User Content available to other users in accordance with your privacy and sharing settings
- Use your User Content for promotional, marketing, and advertising purposes
- Analyze and aggregate User Content for statistical and analytical purposes
- Sublicense these rights to third-party service providers who assist in operating our Services

By submitting User Content, you represent, warrant, and covenant that:

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services strictly in accordance with these Terms. This license does not include any right to:
- Reproduce, distribute, modify, create derivative works from, publicly display, or publicly perform our content
- Use any data mining, robots, scraping, or similar data gathering or extraction methods
- Download (other than page caching) any portion of our Services or content, except as expressly permitted
- Use our Services or content for any commercial purpose without our express written permission

When submitting, uploading, or posting scripts, code, comments, reviews, or any other content to our Services ("User Content"), you agree to comply with the following content standards and posting guidelines:
6.1 Prohibited Content Types
You must not post or share User Content that:
- Violates intellectual property rights: Duplicates, plagiarizes, or infringes upon the copyrights, trademarks, patents, trade secrets, or other proprietary rights of any third party

- Violates privacy: Contains personal information of others without their consent, including doxxing, or violates any privacy rights
- Is not safe for work (NSFW): Includes sexually explicit content, pornography, nudity, or other NSFW material, including offsite links to such content
6.2 Required Disclosures for Scripts
If you upload scripts or code to our Services, you must include a clear and conspicuous disclaimer in the script description that:
- Accurately discloses what user data (if any) is collected, logged, stored, or transmitted by the script, including but not limited to IP addresses, usernames, account names, device identifiers, location data, or any other personal information
- Describes how such data is used, stored, shared, or transferred
- Identifies any third-party services, APIs, or servers that the script communicates with
- Warns users of any potential security or privacy risks
Failure to provide accurate and complete disclosures is a material breach of these Terms and may result in immediate content removal and account termination.
6.3 Enforcement and Consequences
Violation of these content standards and posting guidelines may result in:
- Immediate removal of the violating content without notice
- Suspension or permanent termination of your account
- Legal action and referral to law enforcement authorities
- Liability for damages caused by your violations
7. User Conduct Prohibitions
You agree to use our Services in a respectful, lawful, and responsible manner. The following conduct is strictly prohibited:
7.1 Harassment and Abuse
- Engaging in racism, bigotry, hate speech, harassment, bullying, stalking, intimidation, or threats against any individual or group
- Discriminating against others based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, or other protected characteristics

- Manipulating ratings, reviews, downloads, or engagement metrics through fraudulent means
7.3 Technical and Security Violations
- Attempting to damage, disrupt, interfere with, disable, overburden, or impair the operation, functionality, security, or performance of our Services, servers, networks, or infrastructure
- Circumventing, disabling, or otherwise interfering with security features, access controls, authentication mechanisms, or usage limitations
- Gaining or attempting to gain unauthorized access to our Services, systems, networks, accounts, data, or computers through hacking, password mining, or any other means
- Exploiting vulnerabilities, bugs, or security flaws in our Services for any purpose
- Using automated systems, bots, scripts, scrapers, spiders, or crawlers to access, interact with, or extract data from our Services without express written authorization
7.4 Unlawful Activities
- Using our Services for any unlawful purpose or in violation of any applicable local, state, national, or international laws or regulations

8. Content Moderation, Monitoring, and Enforcement
8.1 Our Rights and Discretion
We reserve the right, but are not obligated, to:
- Monitor, review, screen, edit, moderate, or refuse to post any User Content submitted to our Services
- Remove, delete, disable access to, or refuse to display any User Content that we determine, in our sole discretion, violates these Terms, our policies, applicable laws, or is otherwise objectionable, inappropriate, or harmful
- Suspend, restrict, limit, or terminate user accounts and access to our Services at any time, with or without notice, for any reason or no reason
- Investigate violations of these Terms and cooperate with law enforcement authorities
- Disclose user information and content to law enforcement, regulatory agencies, courts, or third parties as required by law or to protect our rights and the rights of others
8.2 No Obligation to Monitor
While we reserve the right to monitor and moderate User Content, we are under no obligation to do so. We do not pre-screen or continuously monitor all User Content before it is posted to our Services. You acknowledge that:
- User Content is the sole responsibility of the users who post it, not MzScript's
- We are not responsible for errors, omissions, offensive content, defamatory statements, or illegal materials posted by users
- Our exercise of any moderation or enforcement rights does not make us liable for User Content or create any duty to monitor
8.3 Enforcement Actions
Enforcement actions, including content removal and account actions, may occur without prior notice at our sole discretion. We are not required to provide warnings before taking enforcement action, although we may choose to do so in certain circumstances.

OUR SERVICES, AND ALL CONTENT, MATERIALS, FEATURES, FUNCTIONALITY, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PROVIDED THROUGH OUR SERVICES (INCLUDING USER CONTENT) ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT WARRANTIES, REPRESENTATIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
11.1 Disclaimer of All Warranties

- Availability: That our Services will be uninterrupted, timely, secure, error-free, or free from defects, bugs, or failures

- Your use, download, or reliance on User Content, scripts, or code is entirely at your own risk and discretion
- You are solely responsible for evaluating User Content and taking appropriate precautions (such as scanning for viruses or malware) before downloading or using any content
- Scripts or code may contain bugs, errors, security vulnerabilities, or malicious code that could damage your computer, compromise your data, or cause other harm
11.3 No Professional Advice
Our Services do not provide professional advice (legal, financial, medical, technical, or otherwise). Any information, content, or materials provided through our Services are for general informational and educational purposes only and should not be relied upon as professional advice. 12.1 Types of Damages Excluded
- Indirect damages: Indirect, incidental, special, exemplary, punitive, or consequential damages
- Economic losses: Loss of profits, revenue, business, opportunities, goodwill, or anticipated savings
- Data and information: Loss of data, information, content, or files; corruption of data; or cost of procurement of substitute services
- Personal injury: Personal injury, emotional distress, pain and suffering, or mental anguish (except where prohibited by law)
- System damage: Damage to your computer systems, hardware, software, or other technology resulting from viruses, malware, or harmful content
- Third-party claims: Claims, losses, or damages arising from third-party content, services, or conduct
12.2 Theories of Liability
THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY, CAUSE OF ACTION, OR BASIS OF CLAIM, INCLUDING BUT NOT LIMITED TO:
- Breach of contract, warranty, or agreement
- Tort (including negligence, gross negligence, or strict liability)
- Statutory or regulatory violations
- Misrepresentation, fraud, or unjust enrichment
- Any other legal or equitable theory
12.3 Knowledge and Foreseeability
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY EVEN IF MZSCRIPT'S HAS BEEN ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF ANY LIMITED REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE.
12.4 Maximum Total Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF:
- The total amount you have paid to MzScript's (if any) in the twelve (12) months immediately preceding the event giving rise to liability, OR
- One hundred U.S. dollars ($100.00)
12.5 Essential Basis of Bargain
You acknowledge and agree that the disclaimers and limitations of liability set forth in these Terms are fundamental elements of the basis of the bargain between you and MzScript's, and that MzScript's would not be able to provide the Services on an economically reasonable basis without these limitations. These limitations will survive and apply even if any limited remedy fails of its essential purpose.
12.6 Jurisdiction-Specific Rights
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages (such as incidental, consequential, or punitive damages, or for personal injury or death caused by negligence). In such jurisdictions, the liability of MzScript's and its affiliates, officers, employees, and agents shall be limited to the maximum extent permitted by law.
13. Indemnification and Hold Harmless
13.1 Your Indemnification Obligation
You agree to indemnify, defend (at our option), and hold harmless MzScript's, its owners, operators, parent companies, subsidiaries, affiliates, partners, licensors, service providers, content providers, and each of their respective officers, directors, employees, agents, shareholders, and representatives (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, fees, and charges (including reasonable attorneys' fees, expert fees, and court costs) that arise out of or relate to:
- Your access to or use of our Services
- Your violation of these Terms, our policies, or any applicable laws or regulations
- Your User Content, including any infringement of intellectual property rights, privacy rights, publicity rights, or other proprietary rights
- Your violation of any rights of any third party, including other users
- Any harm, damage, or injury (whether physical, financial, reputational, or otherwise) caused by your conduct or User Content
- Any breach of your representations, warranties, or covenants under these Terms
- Any negligence, misconduct, or willful actions or omissions on your part
13.2 Defense and Control
We reserve the right (at our sole discretion and expense) to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate with us in asserting any available defenses and providing information and assistance as we reasonably request. You may not settle any claim subject to this indemnification without our prior written consent.
13.3 Survival
This indemnification obligation will survive the termination of your account, your use of our Services, and these Terms.
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
14.1 Informal Dispute Resolution (Mandatory Prerequisite)
Before filing any formal legal action or arbitration demand, you agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or our Services ("Dispute") informally through good-faith negotiations with MzScript's. To initiate informal resolution:
- Send a detailed written notice of the Dispute to mzscriptscontact@gmail.com, including:
- Your name, account information, and contact details
- A description of the nature and basis of the Dispute
- The specific relief or remedy you are seeking
- Engage in good-faith negotiations for a period of at least thirty (30) days from the date we receive your notice
If the Dispute is not resolved through informal negotiations within thirty (30) days (or such longer period as the parties mutually agree), either party may proceed to binding arbitration or to court as provided below.
14.2 Binding Arbitration Agreement
If informal resolution is unsuccessful, you and MzScript's agree that any Dispute will be resolved exclusively through final and binding arbitration, rather than in court, except as set forth in Section 14.4 (Exceptions to Arbitration).
The arbitration will be:
- Administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at www.adr.org) or another arbitration provider mutually agreed upon by the parties
- Conducted by a single, neutral arbitrator
- Held in the state where MzScript's is registered (or remotely via videoconference if mutually agreed)
- Governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.)
14.3 Arbitration Costs and Fees
Each party shall bear its own costs and expenses of arbitration (including attorney fees) unless the arbitrator determines otherwise based on the merits and applicable law. If you initiate arbitration, you will be responsible for paying the applicable AAA filing fees; however, if the arbitrator finds that your claim was filed for a proper purpose and in good faith, MzScript's will reimburse you for those fees.
14.4 Exceptions to Arbitration
Notwithstanding the arbitration requirement, either party may pursue the following in a court of competent jurisdiction without first engaging in arbitration:
- Injunctive or equitable relief: Seeking preliminary or permanent injunctive relief, restraining orders, or other equitable remedies to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or data security
- Small claims court: Filing an individual action in small claims court, provided the claim qualifies and remains in small claims court
14.5 Class Action Waiver
YOU AND MZSCRIPT'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PARTY PROCEEDING ("CLASS ACTION WAIVER"). UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
If a court or arbitrator determines that the Class Action Waiver is unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and decided in court rather than arbitration, and all other claims will remain subject to arbitration.
14.6 Opt-Out Right
You have the right to opt out of this arbitration agreement and Class Action Waiver by sending written notice to mzscriptscontact@gmail.com within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, email address, username, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other terms of these Terms will continue to apply, but neither you nor MzScript's will be required to arbitrate Disputes.
14.7 Survival and Severability
This dispute resolution and arbitration provision shall survive the termination of these Terms and your use of our Services. If any portion of this Section 14 is found to be invalid or unenforceable (except for the Class Action Waiver as provided above), the remainder shall remain in full force and effect.
15. Governing Law and Jurisdiction
15.1 Applicable Law
These Terms and any disputes or claims arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with:

- The laws of the state in which MzScript's is registered, incorporated, or has its principal place of business
This choice of law is made without regard to conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG), which is expressly excluded and shall not apply.
15.2 Jurisdiction and Venue
Except for Disputes subject to arbitration under Section 14 or exceptions to arbitration under Section 14.4, you agree that any legal action, suit, or proceeding arising out of or relating to these Terms or our Services must be instituted exclusively in:
- The federal courts of the United States located in the state where MzScript's is registered, OR
- The state courts located in the county where MzScript's has its principal place of business
You irrevocably consent and submit to the exclusive personal jurisdiction and venue of such courts and waive any objection to jurisdiction or venue (including any claim of inconvenient forum).

17.3 No Waiver of Rights
Our failure or delay in exercising any right, power, or remedy under these Terms, or our failure or delay in enforcing any provision, shall not constitute a waiver of such right, power, remedy, or provision, nor preclude us from exercising it in the future. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of MzScript's.
17.4 No Third-Party Beneficiaries
These Terms are for the sole benefit of you and MzScript's and do not create any third-party beneficiary rights. No other person or entity has any right to enforce or rely upon any provision of these Terms.
